REAL HONEST TALLOW
Affiliate Program Agreement
Terms & Conditions for the Real Honest Tallow Ambassador Program
Effective October 17, 2026
**INTRODUCTION & ACCEPTANCE OF AGREEMENT** This Affiliate Program Agreement (“Agreement”) governs participation in the Real Honest Tallow Ambassador Program (“Program”), operated by Real Honest Tallow, LLC, an Iowa limited liability company (“Company,” “Real Honest Tallow,” “we,” “us,” or “our”). By applying to participate in the Program, an applicant (“Affiliate,” “you,” or “your”) agrees to be bound by this Agreement upon affirmative acceptance. Submission of an application does not guarantee approval or authorization to promote the Company as an Affiliate. The Program allows approved Affiliates to promote designated Real Honest Tallow products using authorized referral links and earn commissions on qualifying purchases, subject to the eligibility requirements, payment terms, advertising standards, and other provisions contained in this Agreement. **1. PROGRAM ELIGIBILITY & APPROVAL** Participation in the Program is limited to individuals who are at least eighteen (18) years of age and businesses legally authorized to enter into binding agreements. All applications are subject to review and approval by Real Honest Tallow, LLC. The Company reserves the right to approve or reject applicants based on legitimate business considerations, including brand alignment, promotional practices, and compliance with applicable law. Applicants are not authorized to represent themselves as approved Real Honest Tallow Affiliates until the Company has formally approved their participation. 2. INDEPENDENT CONTRACTOR RELATIONSHIP Affiliates participate in the Real Honest Tallow Ambassador Program as independent contractors and not as employees, partners, agents, franchisees, or legal representatives of Real Honest Tallow, LLC. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between the Company and an Affiliate. Affiliates retain control over their independent promotional activities, subject to applicable laws and the advertising, intellectual property, and brand protection requirements established by the Company. Affiliates are not authorized to enter into contracts, incur expenses, make representations, or assume obligations on behalf of Real Honest Tallow, LLC. Affiliates are responsible for their own business expenses, equipment, internet access, promotional costs, and applicable taxes, except where otherwise expressly agreed in writing. The parties acknowledge that an Affiliate's legal classification is determined by the actual working relationship and applicable law, not merely by the designation contained in this Agreement. 3. AFFILIATE COMMISSIONS AND PAYMENT TERMS 3.1 Commission Rate Approved Affiliates are eligible to earn a commission equal to ten percent (10%) of qualifying net product sales generated through their authorized and properly tracked referral links. Commissions are calculated on eligible product revenue after applicable discounts and exclude sales tax, shipping charges, handling fees, refunded transactions, canceled orders, and other noncommissionable amounts. 3.2 Qualifying Purchases A purchase qualifies for commission only when it: (a) Is completed through the Company's authorized sales platform; (b) Is properly attributed to an approved Affiliate through the Company's designated tracking system; (c) Has been successfully paid and verified; (d) Is not fraudulent, canceled, refunded, returned, or charged back; and (e) Complies with all applicable Program requirements. Self-referrals, artificial transactions, and purchases designed to manipulate commission attribution are prohibited. Wholesale transactions, gift card purchases, and expressly excluded products are not commissionable when designated as such by the Company before the applicable transaction. 3.3 Payment Schedule Affiliate commissions are subject to a thirty (30) calendar-day review period following completion of the applicable qualifying transaction. Approved commissions will generally be paid by the fifteenth (15th) day of the first calendar month following expiration of the review period. Regular payments require a minimum approved commission balance of twenty-five dollars ($25.00). Balances below this amount will carry forward until the payment threshold is reached. Upon termination of participation, legitimately earned and undisputed commissions will remain payable after applicable verification and review periods, including balances below the regular minimum payout threshold. 3.4 Payment Method Affiliate commissions will ordinarily be paid through PayPal or another payment method expressly approved by the Company. Affiliates are responsible for supplying accurate payment information and any legally required tax documentation. 3.5 Refunds and Chargebacks Commissions associated with refunded, canceled, returned, disputed, or charged-back purchases may be reversed. If a commission has already been paid and the underlying transaction is subsequently reversed, the Company may offset the corresponding overpayment against future commissions, to the extent permitted by applicable law. 3.6 Commission Verification and Disputes The Company reserves the right to review and verify referral activity, order eligibility, and commission calculations. Payment of disputed amounts may be reasonably delayed during a good-faith investigation. Undisputed, earned commissions will not be unreasonably withheld. Affiliates must notify the Company in writing of suspected commission discrepancies and provide reasonably available supporting information. 3.7 Changes to Commission Rates The Company may change commission rates or eligibility requirements upon reasonable advance notice. Changes will apply prospectively and will not retroactively reduce commissions already earned under the terms in effect at the time of the qualifying transaction. 4. ADVERTISING, FTC COMPLIANCE, AND PRODUCT REPRESENTATIONS 4.1 Compliance with Advertising Laws All Affiliates must comply with applicable federal, state, and local advertising, consumer protection, and endorsement laws, including the Federal Trade Commission Act and the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, 16 C.F.R. Part 255. Affiliates must ensure that all statements regarding Real Honest Tallow products are truthful, accurate, not misleading, and supported by appropriate substantiation. 4.2 Disclosure of Affiliate Relationship Affiliates must clearly and conspicuously disclose their material financial relationship with Real Honest Tallow whenever promoting or recommending Company products. Disclosures must be easily noticeable, understandable, and placed with the endorsement itself. Acceptable disclosures may include: "I earn a commission when you purchase through my link." "#ad — I may earn a commission from qualifying purchases." Disclosures must comply with applicable FTC requirements for each advertising format, including videos, livestreams, social media posts, and stories. Use of a platform's built-in paid partnership or disclosure tool does not necessarily replace the obligation to make an adequate disclosure. 4.3 Prohibited Medical and Therapeutic Claims Unless expressly authorized in writing by the Company and supported by legally sufficient substantiation, Affiliates may not claim that Real Honest Tallow products diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Prohibited representations include unsupported claims that products treat eczema, psoriasis, acne, rosacea, hormonal disorders, or other medical conditions. Affiliates may not represent Company products as FDA-approved, clinically proven, dermatologist-tested, hypoallergenic, or medically recommended unless such representations are accurate, adequately substantiated, and specifically authorized by the Company. 4.4 Authorized Product Descriptions Affiliates may describe products using Company-approved marketing materials and accurate descriptions of their own genuine experiences. Personal testimonials must reflect honest opinions and actual experiences. Affiliates may not fabricate reviews, impersonate customers, or misrepresent product results. Affiliates are responsible for promptly correcting or removing inaccurate statements at the Company's reasonable request. 4.5 Company Monitoring and Enforcement Real Honest Tallow reserves the right to review publicly available affiliate promotional content for compliance with this Agreement. The Company may require correction or removal of noncompliant content, suspend promotional privileges, or terminate participation for material violations. Affiliates must cooperate with reasonable compliance requests. 4.6 No Unauthorized Guarantees Affiliates may not make unauthorized guarantees regarding product effectiveness, skincare results, refunds, delivery times, or other Company policies. Only the Company may establish binding warranties, customer service commitments, and product guarantees. 5. INTELLECTUAL PROPERTY, BRAND USAGE, AND CONTENT PROTECTION 5.1 Ownership of Intellectual Property Real Honest Tallow, LLC retains all rights, title, and interest in its business name, trademarks, logos, branding, product names, product photographs, website content, marketing materials, designs, advertising content, and other intellectual property owned or licensed by the Company. Participation in the Affiliate Program does not transfer ownership of any Company intellectual property to an Affiliate. 5.2 Limited Permission to Use Brand Materials During an Affiliate's approved participation in the Program, the Company grants the Affiliate a limited, nonexclusive, nontransferable, revocable, royalty-free license to use Company-approved trademarks, logos, photographs, and promotional materials solely for authorized promotion of Real Honest Tallow products. This permission automatically terminates when the Affiliate's participation ends. 5.3 Restrictions on Brand Usage Without prior written authorization, Affiliates may not: (a) Alter, distort, recolor, or materially modify the Real Honest Tallow name, logo, or other protected branding; (b) Use Company trademarks in domain names, business names, social media usernames, or advertising accounts in a manner suggesting official Company ownership or endorsement; (c) Create counterfeit products, packaging, labels, or unauthorized merchandise bearing Company branding; (d) Register or attempt to register Company trademarks, confusingly similar marks, or domain names; (e) Represent themselves as employees, owners, official spokespersons, or authorized agents of the Company; or (f) Use Company intellectual property in connection with unlawful, deceptive, defamatory, or misleading content. 5.4 Product Photography and Marketing Materials Affiliates may share Company-approved product photography, videos, descriptions, and marketing materials for legitimate Program activities. Affiliates must not materially alter product labels, ingredient disclosures, warnings, or other product information in a manner that creates a false or misleading representation. Affiliates are encouraged to produce original promotional content, provided it complies with the Company's advertising and brand guidelines and applicable law. 5.5 Affiliate-Created Content Affiliates retain ownership of original content they independently create, subject to the Company's preexisting intellectual property rights. The Company may request permission to repost, share, or otherwise use Affiliate-created content. Unless a separate written authorization provides otherwise, the Company will not acquire ownership of an Affiliate's original content merely because it was created in connection with the Program. 5.6 Removal of Unauthorized Materials Upon reasonable request by the Company, Affiliates must promptly correct or remove promotional materials that violate this Agreement, infringe third-party rights, or misrepresent Company products. Upon termination, Affiliates must cease using Company trademarks and remove representations of current Affiliate status within a reasonable period. 5.7 No Unauthorized Paid Advertising Affiliates may not purchase paid advertisements using Real Honest Tallow trademarks, brand names, or confusingly similar terms in search-engine advertising without prior written approval. Affiliates may not run advertisements that falsely appear to originate from the Company or direct consumers to deceptive or unauthorized websites. 5.8 Reservation of Rights All rights not expressly granted under this Agreement are reserved by Real Honest Tallow, LLC. The Company may revoke permission to use its intellectual property in response to material Agreement violations or legitimate brand-protection concerns, subject to applicable law. # 6. PROHIBITED AFFILIATE ACTIVITIES AND FRAUD PREVENTION **6.1 Prohibited Conduct** Affiliates shall conduct all promotional activities honestly, lawfully, and in a manner consistent with the Company's reputation and brand standards. The following activities are expressly prohibited: (a) Generating fraudulent, fictitious, duplicate, or artificially induced transactions; (b) Purchasing products through one's own referral link for the purpose of receiving a commission; (c) Manipulating cookies, tracking links, referral codes, or attribution technology; (d) Misrepresenting discounts, pricing, promotional offers, product availability, or Company policies; (e) Creating fake reviews, false testimonials, fabricated results, or impersonated customer accounts; (f) Engaging in unsolicited commercial messaging, spam, unlawful telemarketing, or deceptive advertising; (g) Impersonating Real Honest Tallow, its owners, employees, or authorized representatives; (h) Creating unauthorized websites, advertisements, or social media accounts that falsely appear to be operated by the Company; (i) Using bots, automated traffic generation, or other deceptive methods to create referrals; (j) Engaging in unlawful, discriminatory, harassing, or threatening conduct in connection with Program activities; or (k) Violating applicable law, platform policies, or material provisions of this Agreement. **6.2 Coupon and Promotional Restrictions** Affiliates may promote only discounts or coupon codes expressly authorized by the Company. Affiliates may not create, alter, distribute, or advertise unauthorized promotional codes. Affiliates may not represent expired promotions as valid or make unauthorized promises of free shipping, gifts, or additional discounts. **6.3 Violations and Investigations** The Company may investigate suspected misconduct and temporarily suspend an Affiliate's access or disputed commissions during a reasonable good-faith investigation. Confirmed fraud or material violations may result in termination, reversal of improperly generated commissions, or other remedies available under applicable law. Legitimately earned, undisputed commissions shall remain payable in accordance with this Agreement. # 7. CUSTOMER DATA, PRIVACY, AND INFORMATION SECURITY **7.1 Customer Information** All customer information obtained through Company systems, including customer names, addresses, contact information, purchase histories, and payment details, shall be treated as confidential and used only as authorized by the Company and applicable law. Affiliates shall not access, collect, sell, disclose, or misuse nonpublic customer information. **7.2 Independent Marketing Activities** Affiliates are responsible for compliance with applicable privacy, consumer protection, email marketing, and electronic communications laws governing their independently operated websites, mailing lists, and promotional channels. Affiliates shall not represent that they are authorized to collect personal information on the Company's behalf unless expressly authorized in writing. **7.3 Data Security** Affiliates must use reasonable safeguards to protect account credentials, confidential business information, and any personal information they lawfully possess. Affiliates must promptly notify the Company upon discovering unauthorized access to an affiliate account or any suspected security incident involving Company information. **7.4 Confidential Information** Confidential Information includes nonpublic business strategies, product development information, pricing arrangements, customer data, commission structures not publicly disclosed, and proprietary information communicated by the Company as confidential or reasonably understood to be confidential. Affiliates shall not disclose Confidential Information except as legally required or expressly authorized in writing. Confidentiality obligations do not apply to information lawfully available to the public, independently developed without use of Confidential Information, or lawfully obtained from a third party without a confidentiality obligation. Nothing in this Agreement prevents lawful reporting to government agencies or disclosures protected by applicable law. # 8. PRODUCT SAFETY, CUSTOMER COMMUNICATIONS, AND COMPLAINTS **8.1 Product Safety** Affiliates shall not alter, dilute, repackage, relabel, tamper with, or otherwise modify Real Honest Tallow products without prior written authorization. Affiliates may not make unauthorized representations regarding ingredient safety, product testing, expiration dates, shelf life, allergens, or suitability for particular medical conditions. **8.2 Adverse Reactions and Customer Complaints** If an Affiliate becomes aware of a suspected adverse reaction, product defect, contamination concern, or other product safety complaint, the Affiliate shall promptly direct the customer to the Company and notify the Company using its designated business contact. Affiliates shall not independently diagnose medical conditions, recommend medical treatment, or promise compensation or refunds on behalf of the Company. Affiliates must not discourage consumers from seeking appropriate medical attention or reporting safety concerns. **8.3 Customer Service Authority** Only the Company or its authorized representatives may approve refunds, exchanges, replacements, warranty claims, or exceptions to published Company policies. **8.4 Product Demonstrations** Affiliates must demonstrate products in a safe and reasonable manner consistent with Company-approved directions and warnings. Affiliates may not encourage misuse, consumption of products intended only for topical application, or application contrary to labeled instructions. **8.5 Product-Specific Advertising Restrictions** Affiliates shall follow the advertising requirements applicable to each product category. Cosmetics, foods, sunscreen products, and other regulated product categories may be subject to different federal and state requirements. Affiliates may not assume that claims permitted for one product category are permissible for another. # 9. CONFIDENTIALITY AND NON-EXCLUSIVITY **9.1 Confidential Business Information** Affiliates shall protect the Company's nonpublic business information and use such information only as necessary for authorized Program activities. This obligation survives termination to the extent permitted by applicable law. **9.2 Non-Exclusive Relationship** Unless otherwise agreed in writing, participation in the Program is non-exclusive. Affiliates may promote other businesses and products, provided doing so does not violate this Agreement, misuse Company Confidential Information, infringe intellectual property rights, or involve deceptive representations concerning Real Honest Tallow. **9.3 No Guarantee of Continued Participation** Acceptance into the Program does not guarantee continued participation, a minimum duration, or any specific level of compensation. # 10. TAXES AND REQUIRED DOCUMENTATION **10.1 Affiliate Tax Obligations** Affiliates are responsible for determining, reporting, and paying applicable federal, state, and local taxes on their earnings, except for taxes the Company is legally required to withhold or remit. **10.2 Tax Documentation** Before issuing applicable payments, the Company may require a completed IRS Form W-9, appropriate Form W-8, or other documentation required by law. Tax information must be submitted through a secure method designated by the Company. **10.3 Information Reporting and Withholding** The Company or applicable payment processor may issue required tax information returns, including Forms 1099 where applicable. The Company may withhold amounts when required by federal, state, or local law. **10.4 Payment Information** Affiliates are responsible for maintaining accurate and current payment details. The Company may reasonably delay payment when required documentation is missing or legally mandated verification cannot be completed. # 11. PROGRAM SUSPENSION AND TERMINATION **11.1 Termination by Affiliate** An Affiliate may withdraw from the Program by providing written notice to the Company. **11.2 Termination by Company** The Company may suspend or terminate an Affiliate's participation for legitimate business reasons, including: (a) Material breach of this Agreement; (b) Fraudulent or misleading promotional activity; (c) Failure to comply with applicable advertising or consumer protection laws; (d) Misuse of Company trademarks, customer information, or confidential materials; (e) Conduct reasonably determined to create a material legal or reputational risk to the Company; or (f) Discontinuation or restructuring of the Affiliate Program. Except where immediate action is reasonably necessary to address fraud, unlawful activity, or substantial harm, the Company may provide an opportunity to correct remediable violations. **11.3 Effect of Termination** Upon termination, the Affiliate must discontinue use of Company referral links, remove representations of current affiliate status, and cease unauthorized use of Company intellectual property. Termination does not eliminate confidentiality obligations or other provisions expressly intended to survive termination. **11.4 Outstanding Commissions** Legitimately earned and undisputed commissions remain payable following termination, subject to applicable verification, refund adjustments, and legal requirements. Unpaid balances below the regular minimum payout threshold will be processed as final payments following the applicable review period. Commissions attributable to confirmed fraudulent or nonqualifying transactions are not payable. # 12. REPRESENTATIONS, WARRANTIES, AND DISCLAIMERS **12.1 Affiliate Representations** Each Affiliate represents that: (a) The Affiliate has legal capacity and authority to enter into this Agreement; (b) Participation does not violate another binding contractual obligation; (c) Promotional activities will comply with applicable law; (d) Content supplied by the Affiliate will not knowingly infringe third-party intellectual property rights; and (e) Information provided during registration and payment setup will be materially accurate. **12.2 No Earnings Guarantee** The Company makes no representation or guarantee concerning anticipated sales, referral traffic, conversion rates, commissions, or profitability. Actual earnings depend on qualifying transactions and applicable Program rules. **12.3 No Unauthorized Product Warranties** Affiliates shall not create warranties, guarantees, or binding commitments on behalf of the Company. Nothing in this Agreement alters legally required consumer rights or warranties applicable to Company products. # 13. INDEMNIFICATION To the extent permitted by applicable law, an Affiliate agrees to defend, indemnify, and hold harmless Real Honest Tallow, LLC and its owners, officers, managers, employees, and authorized representatives from third-party claims, damages, liabilities, and reasonable legal expenses arising from: (a) The Affiliate's material breach of this Agreement; (b) Fraudulent, unlawful, or materially misleading promotional activities; (c) Unauthorized medical, therapeutic, or product performance claims; (d) Infringement of third-party intellectual property rights by Affiliate-created content; or (e) The Affiliate's negligent or willful misconduct. This obligation applies only to the extent the claim results from the Affiliate's conduct and shall not require indemnification for the Company's own negligence, misconduct, unlawful acts, or independently defective products. The Company shall provide reasonably prompt notice of an indemnifiable claim and permit the Affiliate to participate in the defense, subject to appropriate protections for conflicts of interest. No settlement imposing obligations on the Company may be entered without the Company's prior written consent, which shall not be unreasonably withheld. # 14. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, exemplary, or consequential damages arising from participation in the Program, except where such limitation is prohibited by law. Except for payment obligations for properly earned commissions, fraud, willful misconduct, breaches of confidentiality, intellectual property violations, indemnification obligations, or liabilities that cannot lawfully be limited, the Company's aggregate contractual liability arising from this Agreement shall not exceed the total commissions paid or payable to the Affiliate during the twelve (12) months preceding the event giving rise to the claim. Nothing in this section limits rights or remedies that cannot legally be excluded or restricted. # 15. GOVERNING LAW AND DISPUTE RESOLUTION **15.1 Governing Law** This Agreement shall be governed by the laws of the State of Iowa, without regard to conflict-of-laws principles, except where mandatory laws of another jurisdiction apply. **15.2 Good-Faith Resolution** Before commencing litigation, either party may provide written notice describing a dispute and request good-faith discussions to resolve the matter. Unless urgent judicial relief is reasonably necessary, the parties shall attempt to resolve the dispute informally for thirty (30) calendar days following written notice. Nothing in this provision prevents a party from exercising nonwaivable statutory rights, filing a complaint with a government agency, or seeking immediate relief where legally necessary. **15.3 Jurisdiction and Venue** To the extent legally permissible, disputes arising from this Agreement shall be brought in a court of competent jurisdiction located in Pottawattamie County, Iowa, or the appropriate federal court serving that location. Each party consents to the personal jurisdiction of such courts to the extent permitted by law. **15.4 Attorneys' Fees** Each party shall bear its own attorneys' fees and litigation costs unless an applicable statute, court order, or separate enforceable written agreement provides otherwise. **15.5 Preservation of Legal Rights** Nothing in this Agreement eliminates remedies, statutory protections, or jurisdictional rights that cannot lawfully be waived. # 16. GENERAL CONTRACT PROVISIONS **16.1 Entire Agreement** This Agreement, together with incorporated Program policies and expressly accepted amendments, constitutes the agreement between the Company and Affiliate regarding Program participation. Where these terms conflict with a separately signed written agreement, the separately signed agreement shall control to the extent expressly stated therein. **16.2 Amendments** The Company may modify Program requirements upon reasonable advance notice. Changes affecting previously earned compensation will not apply retroactively. Continued participation after the effective date of a properly communicated amendment may constitute acceptance where legally permissible. Where affirmative consent is legally required, the Company shall obtain such consent. **16.3 Severability** If any provision is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent legally permissible. **16.4 No Waiver** Failure to enforce a provision on one occasion does not waive the right to enforce that provision in the future. **16.5 Assignment** Affiliates may not transfer their Program participation or contractual rights without the Company's prior written consent, except where prohibited by applicable law. The Company may assign this Agreement in connection with a legitimate merger, reorganization, or sale of substantially all relevant business assets, subject to applicable law. **16.6 Force Majeure** Neither party shall be responsible for delays caused by events beyond its reasonable control, including natural disasters, major network disruptions, government restrictions, or similar events, except that such events do not extinguish accrued payment obligations. **16.7 Electronic Communications** The parties consent to conducting Program-related communications electronically, subject to applicable electronic-signature and consumer protection laws. **16.8 Notices** Unless otherwise required by applicable law, Program notices may be delivered electronically to the email address maintained in the Affiliate's account. Affiliates are responsible for keeping their contact information current. Official notices to the Company may be directed to: Real Honest Tallow, LLC Council Bluffs, Iowa Email: realhonesttallow@gmail.com Website: www.realhonesttallow.com **16.9 Survival** Provisions concerning earned compensation, confidentiality, intellectual property, indemnification, liability, dispute resolution, and other obligations intended by their nature to survive shall remain effective following termination. # 17. ELECTRONIC ACCEPTANCE AND ACKNOWLEDGMENT By affirmatively selecting the required acceptance checkbox during registration, the applicant acknowledges that the applicant: (a) Has been provided access to this Agreement; (b) Has had a reasonable opportunity to review its provisions; (c) Understands the applicable commission and payment terms; (d) Agrees to comply with FTC disclosure requirements and applicable product advertising laws; (e) Understands that submission of an application does not guarantee Program approval; and (f) Agrees to be bound by this Agreement, subject to applicable law. The Company should retain an electronic record of acceptance, including the agreement version, acceptance date and time, and associated account identification, to the extent reasonably available. **REAL HONEST TALLOW, LLC** Council Bluffs, Iowa www.realhonesttallow.com realhonesttallow@gmail.com **Effective Date: October 17, 2026** © 2026 Real Honest Tallow, LLC.
